Email Disclaimer

Conbool Disclaimer adds legal details, confidentiality notices and disclaimers automatically to every business email through the mail flow. Centrally managed and traceably logged.

Email Disclaimer for Business: Automate Legal Details

German companies are legally required to include certain details in business emails (section 37a HGB, section 35a GmbHG). Missing details can lead to warning letters and coercive fines. Conbool Disclaimer manages these details centrally and appends them to every outbound email through the mail flow.

Common Compliance Risks with Email Disclaimers

Missing Legal Notices

Business emails without the details required by section 37a HGB or section 35a GmbHG breach the legal requirements. The register court can impose a coercive fine, and competitors can send warning letters.

Inconsistent Disclaimers

When employees manage disclaimers manually, different versions emerge with outdated information, incorrect legal entities or missing details. This undermines legal protection.

Missing privacy notice

Anyone processing personal data must inform the people concerned. A consistent link to the privacy policy in every email makes this information easy to find in email correspondence.

Features for central email disclaimers

Conbool Disclaimer provides the tools to manage email legal details centrally, consistently and traceably.

Starter templates per legal form

Ready-made legal notice templates that draw on the central company data, for GmbH, UG, GmbH & Co. KG, stock corporation, sole proprietorship and registered association. You check the wording before activation.

Template Management

Central management of all disclaimer templates. Different templates for departments, companies or use cases.

Multi-Language Disclaimers

The template follows the detected language of the message. A separate version can be stored for each language.

Dynamic Content

Personalized disclaimers with dynamic fields such as name, department, phone number and legal entity. Automatically populated from your directory service.

Preview before activation

Check disclaimers in the preview before activation, as HTML and plain text, with a sample sender.

Change log

Changes to templates and rules are logged with time and user and can be traced later.

Why Manual Disclaimers Are a Compliance Risk

Many companies rely on manually inserted disclaimers or Outlook signatures. That does not scale and leaves gaps.

Legal details in every message

If the mail flow runs through Conbool, every outbound email receives the stored details under section 37a HGB and section 35a GmbHG, regardless of the employee’s mail client or device.

Consistency Across All Employees

Manual disclaimers lead to sprawl: outdated legal forms, missing register numbers or differing wording. Conbool brings them all back to one centrally maintained version.

Instant Company-Wide Updates

When legal entity details, management or address changes occur, the disclaimer is updated centrally and takes effect immediately for all employees, without IT effort or training.

Traceable when questions arise

The change log records when which template and rule was changed, so you can trace which version applied when questions arise.

Anatomy of a message

Four building blocks, maintained separately.

Marketing maintains the campaign, legal the notice, IT the rules. Nobody touches anyone else's template, and a trade fair banner expires on its end date by itself.

Sent Items

Your own copy looks like the recipient's.

Exchange stores the copy when you hit send, before any server-side signature can be added. That affects every server-side signature, whichever the vendor. Conbool therefore adds the signature in the mailbox after delivery.

Requires Microsoft 365 with a connected organisation and a separately granted consent. If the signature is inserted by the Outlook add-in, it is already in the copy while composing.

FAQ

What mandatory information must be included in business emails?
Under section 37a HGB, merchants must state the company name, place of business, register court and commercial register number in business emails. For a GmbH, section 35a GmbHG adds the managing directors and, where applicable, the chair of the supervisory board. Conbool Disclaimer keeps these details centrally and inserts them automatically.
What happens if business emails lack mandatory information?
Missing legal details can lead to warning letters; courts do not agree on whether this constitutes a competition law breach. Independently of that, the register court can impose a coercive fine of up to 5,000 euros.
Do I need a GDPR disclaimer in emails?
The GDPR does not require a notice in every email. When personal data is collected, however, information duties apply, and a link to the privacy policy in the signature is a common way to point to it. Conbool appends such a notice automatically if desired.
Is a confidentiality notice in emails legally binding?
A confidentiality notice has limited legal effect in many jurisdictions but can serve as evidence of intent to maintain confidentiality and is standard practice in many industries. It can strengthen the sender's position in disputes, particularly in cases of accidental misdirection.
How does Conbool Disclaimer differ from email signatures?
Email signatures primarily serve branding purposes with contact details and visual design. Disclaimers, on the other hand, fulfill legal requirements: mandatory business information, liability exclusions and confidentiality notices. Conbool manages both separately, so signatures and disclaimers can be updated independently.
Does Conbool Disclaimer work with Microsoft 365 and Exchange?
Yes. Outbound messages from Microsoft 365 and Exchange, including on-premises Exchange, pass through a connector to Conbool and receive the disclaimer there, regardless of the mail client. Without changing the mail flow it works through the Outlook add-in, then only for mailboxes in Exchange Online.
Does this require a change to our mail route?
For the full scope, yes: the server appends the disclaimer on the way out, and only that route cannot be bypassed, carries the rule set with banners and campaigns, and applies to every client and every device. If you would rather not change the mail route, signature management can run through the Outlook add-in alone, with no MX change, no SPF record and no DKIM key from Conbool. For statutory details that have to appear on every outgoing message this mode is not the right one: the signature is created in the mailbox and can be edited there.
